Part A Terms and Conditions of Service
1 Contracting Party and Provider Information
1.1 The service provider operates under the name www.FXCloning.com, referred to as “FXCloning” or the “Company”. Its official website is https://www.FXCloning.com. The legal operator’s particulars and contact details are those displayed in the provider information on the website and contracting page before acceptance and form part of this Agreement.
1.2 Before using the service, users must review the Company’s identity, service details, supported countries and published licensing status. The Company must not represent or imply that any licence, approval, broker affiliation or protection exists unless it actually exists and applies to the relevant service and legal entity.
1.3 A credit purchaser, membership account holder and trading account owner may have different roles. Purchasing credits does not authorise the purchaser to trade on or access another person’s trading account. A person acting for a corporate account must have verifiable authority.
2 Acceptance and Related Documents
2.1 Users must have an opportunity to read, download and retain the applicable terms before accepting them. The Company will identify the version and effective date and retain acceptance records under Section 27.
2.2 Registration, purchasing credits and starting Cloning are separate actions. Buying or receiving credits does not start Cloning or authorise trading instructions until the user separately confirms activation for the selected account.
2.3 Related documents include the Risk Disclosure Agreement, credit unit and fee schedules displayed before purchase, the Cloning settings review, the Privacy Policy, the refund policy and any country-specific or promotional terms expressly accepted by the user.
2.4 Mandatory law and rights that cannot be waived prevail over these terms. Expressly accepted specific terms apply to their particular subject. The invoice confirms the price and credit quantity for that purchase; Cloning settings confirm sizing and the scope of authorisation. No document permits duplicate charges or overrides legally protected rights.
2.5 A user who does not agree should not purchase or activate new services and may contact the Company to address outstanding orders, remaining credits and termination under the applicable provisions.
3 Definitions
3.1 “Lot Credits” are digital service entitlement units purchased or received subject to applicable conditions, used to pay for Cloning services according to successfully executed opening volume and the disclosed unit schedule. They are not a required trading volume or an entitlement to investment returns.
3.2 “Prototyper” means a source account or strategy approved by the Company to publish trading events. Its provider may be the founder, the Company, an affiliate or another disclosed person.
3.3 “Cloner” means a user who chooses to receive signals and orders through Cloning in their trading account, and includes that destination account where the context requires.
3.4 “Broker” means the provider of a destination or source trading account that receives, verifies and executes orders under its own terms.
3.5 “Fill” means volume evidenced by the Broker as successfully executed, rather than merely an order submission, network acknowledgement or pending message.
3.6 “Strategy Cycle” means a group of opening, management and closing events assigned a cycle identifier under the Prototyper rules disclosed on the service page, to avoid unintentionally joining a sequence midway.
3.7 “Available Credits” means posted credits less credits reserved against orders whose outcomes remain unresolved. “Invoice” means a purchase record specifying the asset, network, amount payable, credit quantity and quote validity period.
4 Nature and Scope of Service
4.1 FXCloning connects accounts, receives Prototyper events, calculates sizes, sends orders to users’ accounts, monitors outcomes and displays information within the scope of the functionality actually available. Services may operate through MT4 and MT5 only for supported servers, account types and instruments.
4.2 Payments for credits are service fees, not deposits into a trading account. Credit purchases do not place trading capital with the Company, and the Company does not undertake to withdraw funds from Brokers for users. However, the Company receives authorised access to send trading orders, which creates risks separate from holding funds.
4.3 Credit-based pricing and descriptions such as “package” or “product” do not change the actual service activity or establish that financial, investment, order transmission or portfolio management laws do not apply.
4.4 Users select a Prototyper from the Company-managed list. Users cannot register as a Prototyper or select only individual symbols unless expressly supported on the service page. Users may adjust permitted settings and stop the service.
4.5 The current design allows up to five portfolios per member. The number actually enabled, supported platforms and limitations must be displayed before payment. Features under development are not treated as available services.
5 Eligibility and Geographic Restrictions
5.1 Users must have legal capacity to contract and use trading services under the laws applicable to them and must be at least 18 years old, or older where a higher legal threshold applies.
5.2 Before registering, buying credits, connecting an account or starting the service, users must check the laws, rules and restrictions of their country of residence, nationality and access to determine whether FXCloning, automated Cloning and payment for the service are permitted. If use is prohibited or eligibility cannot be confirmed, users must not begin use and must contact the Company. This user obligation does not replace the Company’s own legal duties.
5.3 Although ordinary registration may not involve full identity verification, the Company may request identity, account ownership, corporate authority, source-of-funds evidence or other necessary information where required by law, payment providers or security circumstances. Requests must be limited to what is necessary, with reasons communicated where possible.
5.4 A Broker’s willingness to open an account does not establish that FXCloning is available in the same country. User admission and feature activation remain subject to the service’s actual restrictions.
5.5 The Company does not accept customers from the United States of America (USA) or the United Arab Emirates (UAE), including residents, entities incorporated there or persons accessing the service from those countries, regardless of the selected Broker’s location.
5.6 Under this policy, the Company does not accept U.S. Persons for FATCA purposes, including U.S. citizens, U.S. tax residents and U.S. entities, or accounts held or used on their behalf. This is the Company’s customer acceptance policy, not a statement that FATCA prohibits this service in every case.
5.7 Under its geographic restriction policy, the Company does not accept customers resident or incorporated in European Union (EU) Member States, the territory of the Markets in Crypto-Assets Regulation (MiCA) framework, or other territories where MiCA has been implemented and which the Company identifies as restricted before registration. This is FXCloning’s acceptance policy, not a representation that MiCA prohibits all forms of Cloning service.
5.8 Users must not circumvent restrictions through VPNs, intermediaries, false information or another person’s account. The Company may refuse registration or stop new opening orders and address existing positions, credits and refund rights under Sections 16 and 24, without automatic forfeiture of assets.
6 Membership Accounts and Security
6.1 Users may register through email and password or Google where enabled. They must verify their email, maintain current contact details and refrain from false information, impersonation or evasion of account restrictions.
6.2 Users must protect passwords, devices and verification codes. Trading passwords, private keys and seed phrases must not be sent through general support channels. The Company does not request private wallet seed phrases or private keys.
6.3 Sensitive functions, including credit transfers, changes to key information or account recovery, may require TOTP, additional verification, limits or a post-recovery waiting period, as disclosed before the action.
6.4 Suspected unauthorised access must be reported promptly to the Company and Broker. Users should consider changing access credentials and addressing open positions. The Company will assess evidence and will not automatically treat every transaction using a correct password as authorised.
7 Account Connection and Limited Authority
7.1 Users confirm their right to connect the account and that they have checked whether the Broker or account provider permits operation through the FXCloning system and the relevant Cloning functionality, including restrictions on demo, proprietary-funded and special accounts.
7.2 Users authorise the Company and its designated processors to use necessary server details, account numbers and access credentials to connect, read balances and history, and send instructions according to the selected Prototyper and settings. Read-only access is insufficient to send trading orders.
7.3 FXCloning has no authority to accept deposits of, hold, control, transfer, add or withdraw trading capital in a customer’s Broker account, or to access the customer’s bank account or wallet for those purposes. Customers deposit and withdraw directly with their Brokers themselves. FXCloning’s authority is limited to reading account information and sending or managing trading orders as authorised by the customer; those orders may change balances, profit and loss, and margin. Lot Credit payments are service fees separate from trading capital, not capital deposited with FXCloning.
7.4 Users may revoke authority to initiate new orders through the service interface. Revocation must be distinguished from the treatment of existing positions. Changing credentials or disconnecting may prevent the system from closing or updating outstanding orders. Users must check their accounts directly with the Broker.
7.5 Credentials capable of sending orders create account risk. The Company must not describe the service as entirely safe merely because it does not accept trading capital. It must protect credentials and restrict access under Section 20.
8 Selecting a Prototyper and Starting Cloning
8.1 Before starting, users must review Prototyper information, performance sources, measurement periods, available maximum loss data, portfolio size and limitations. Historical results and selected snapshots do not assure future results.
8.2 Users select the Prototyper account, destination account, risk proportion and enabled limits, review the summary and separately confirm Start Cloning. The Company will record the settings version and activation time.
8.3 By default, Cloning waits for a new eligible event or cycle under the disclosed rules; it does not retrospectively open every position held by the Prototyper. Entry into existing positions, joining mid-cycle or other features requires specific disclosure and confirmation before use.
8.4 Material changes to the Prototyper, risk proportion or settings must identify their effect on new and existing positions. The Company will not retrospectively resize existing positions merely because a user deposits or withdraws or the Prototyper’s balance changes, unless the user has confirmed that functionality.
8.5 Customers may trade manually on accounts connected to FXCloning and manage orders received through FXCloning, including partial or full closure and modifications supported by the Broker. Customers may choose not to retain a received order by closing it themselves. Closure occurs at the Broker’s executed price and may produce profit, loss and costs; it does not retrospectively cancel an already executed opening trade.
8.6 Manual closure does not automatically stop new signals. Customers who do not want new orders must Pause or terminate Cloning through the applicable process. Manual trading or modification may cause results to differ from the Prototyper and affect order matching, particularly in netting accounts. The system must respect a user’s closure and must not reopen the same order merely to reverse that closure, unless there is a new signal or an expressly authorised setting.
8.7 Customers are responsible for managing their capital, including Broker selection, deposits and withdrawals, trading allocation, margin monitoring, sizing, risk levels and account monitoring. Cloning does not transfer those responsibilities to FXCloning or excuse the Company from performing its agreed service obligations.
9 Sizing and Minimum Volume
9.1 The general formula is: Prototyper Lots × Cloner Balance ÷ Prototyper Reference Balance × Risk Multiplier × Prototyper Contract Size ÷ Cloner Contract Size. Balances must be converted into the same currency using the specified rate source, and contract sizes must use comparable units.
9.2 The system uses balances and settings versions recorded under the cycle’s rules. Openings in a subsequent cycle may use updated balances under the displayed calculation schedule. The Company must disclose how and when the Prototyper reference balance is updated, especially after deposits or withdrawals.
9.3 Calculated volume is adjusted to the Broker’s volume step. Where below minimum volume, the system’s policy is to use the destination account minimum, such as 0.01 lot. A 0.01 minimum does not apply universally to all instruments or Brokers.
9.4 Increasing volume to the minimum may materially exceed Balance Ratio risk. For example, a calculated 0.002 lot increased to 0.01 lot is five times the calculated volume. Multiple positions further increase aggregate exposure.
9.5 Minimum sizing does not override credit, margin, market, symbol, maximum volume or risk checks. Orders that fail checks may be skipped or rejected with a verifiable reason. A minimum conflicting with a hard risk limit must not force an opening.
9.6 Users choose their capital and risk levels, but the Company must clearly disclose minimum-size effects and material information. Risk acknowledgement does not waive statutory disclosure or care obligations.
10 Cross Broker Execution and Order Management
10.1 Destination orders execute at the Cloner Broker’s prices and liquidity, not the Prototyper’s confirmed price. Bid/Ask, spread, latency, slippage, market hours, stop levels and execution conditions may differ.
10.2 Before submission, the system must match comparable instruments, including contract size, tick value, currency and suffix. Similar names do not establish identical instruments. New orders may not be opened where matching fails or information is unreliable.
10.3 The settings review must disclose whether SL/TP Cloning uses the same price or a relative distance. Users should not assume an undisclosed method. Different methods may produce different closing prices and outcomes.
10.4 Partial closures refer to matched volume and the Cloner’s volume-step restrictions and may not always preserve exact proportions. The Company must report actual executed and remaining volume.
10.5 An unresolved order outcome must be checked against Broker history before resubmitting an opening. Submission does not guarantee a Fill, and a timeout does not necessarily mean failure.
10.6 If protective instructions fail, the system will use the emergency procedure disclosed for that account, such as stopping new openings, issuing alerts or attempting closure within the user’s authorisation. Emergency action does not guarantee closure at a desired price or time.
10.7 Netting accounts, pending orders and multiple strategies on one symbol are available only where expressly supported and tested. Unsupported functionality must not be marketed as fully available.
11 Contractual Nature of Lot Credits
11.1 Users purchase volume-based service rights, not shares, deposits, interest, Company ownership, profit entitlements or a guarantee of Broker withdrawals. Credits are not trading account funds and do not support margin.
11.2 The Company does not generally redeem credits for cash on demand or guarantee a secondary market or resale price. This does not restrict refunds for errors, non-performance or statutory rights under Section 16.
11.3 Buying credits with ACT is not staking or investing in ACT through FXCloning. Credit value and service entitlements follow the invoice and do not increase with ACT prices or trading results.
11.4 Ordinary purchased credits do not expire unless an expiry date was displayed and accepted before purchase. Promotional credits may have specific validity periods. A general terms amendment alone cannot retrospectively impose expiry on purchased credits.
11.5 Purchase caps, usage restrictions and country limitations must be disclosed before payment. Customers must not unknowingly be allowed to purchase entitlements beyond what they can use.
12 Credit Units and Fees
12.1 One credit provides service for one Billable Lot under the unit schedule disclosed before purchase. For standard gold under this Agreement, one Billable Lot equals 100 troy ounces of successfully opened gold volume. Other instruments require their own unit schedules before activation. Lot figures from different contracts must not be treated as equivalent without normalisation.
12.2 For a gold contract of 100 oz per lot, opening 0.10 lot consumes 0.10 credit. For a 10 oz contract, opening 1.00 lot consumes 0.10 credit. Minimum-sized trades are charged on actual filled volume after normalisation, rather than the original below-minimum calculation.
12.3 The packages offered in this edition are Scout: 1 credit for 9.90 USDT; Flow: 10 credits for 93.30 USDT; Momentum: 50 credits for 440.40 USDT; and Apex: 100 credits for 845.60 USDT. Prices must be confirmed on the invoice. Company-imposed taxes and fees must be shown before payment.
12.4 Each filled opening volume is charged once. No additional credit charge applies to closure, reduction or SL/TP updates. Additional openings or reopening after closure may count as new volume. For partial Fills, only incremental opening volume is charged.
12.5 Brokers may separately charge commissions, spreads, swaps, deposit or withdrawal fees and other costs. Credits do not include those charges. Users must assess results net of both service fees and their own account costs.
12.6 The Company may change prices for new purchases if shown before payment, but must not increase a valid invoice price or retrospectively change purchased credit entitlements. Material changes to service units require disclosure of their effects and appropriate options for credit holders.
13 ACT and USDT Payments
13.1 Only the assets, token contracts and networks identified on the invoice are accepted. The current design supports ACT or USDT on BNB Smart Chain, chain ID 56, subject to the Company approving the assets and contracts for production use.
13.2 Users must check the invoice asset, network, address and amount each time and must not substitute an address from a private message or an old invoice. The Company must provide a verification channel and measures to reduce fraudulent invoice risk.
13.3 An invoice specifies an Internal TX ID and locked payment quote, normally valid for 15 minutes as shown by its timer. ACT pricing and its source apply at invoice issuance, rather than being retrospectively recalculated using current prices.
13.4 Gas, exchange withdrawal and sender fees may reduce the amount received. Users must check the net amount reaching the destination. Company-imposed fees must be disclosed before the transaction.
13.5 A QR code, payment screenshot or transaction hash does not by itself establish successful payment. Before granting credits, the Company verifies the asset, recipient, amount, on-chain evidence and transaction finality under its actual criteria.
13.6 Some blockchain transactions cannot be reversed or recovered. This does not justify refusing to investigate the Company’s own system errors or denying remedies required by law.
14 Underpayments Overpayments Late and Incorrect Payments
14.1 Where an eligible payment is incomplete, the Company may grant proportionate credits up to the package cap, aggregating eligible amounts before rounding down to two decimal places and granting only the previously ungranted difference.
14.2 Cumulative credits granted = the lesser of package credits and cumulative eligible payment × package credits ÷ invoice amount, rounded down to two decimal places. For example, paying 90 of 93.30 USDT for 10 credits grants 9.64 credits, not 10.
14.3 Subsequent payments remain subject to quote validity and eligibility checks. Expired invoices require late-payment review; the original locked quote is not guaranteed to remain available.
14.4 Excess payments, residual amounts not converted into credits and payments received after expiry must be recorded and addressed. They are not automatically forfeited or treated as Company profit. Refunds may be made under applicable rights or additional credits offered with user acceptance.
14.5 Payments using an incorrect asset, network or address may be unrecoverable. The Company will assess technical capability and evidence without guaranteeing recovery and will disclose any reasonable handling fee beforehand. Users must not send a repeat payment to correct the original transaction without investigation.
14.6 Chain reorganisations, duplicate or fraudulent transactions may require a review hold. Corrections must use traceable adjustments, without deleting original history or charging credits twice without explanation.
15 Credit Reservations and Deductions
15.1 Before sending a new opening order, the system may reserve credits against verified volume. Evidence of a Fill triggers deduction for actual opening volume; unused reservations are released when the outcome is resolved. Unresolved transactions remain under review and are shown separately from Available Credits.
15.2 Confirmed unfilled orders incur no opening credit charge. Incorrect or duplicate deductions will be corrected through auditable compensating entries without altering or deleting original evidence.
15.3 Two-decimal precision for purchased credit allocation does not permit discarding smaller Fill quantities. The Company must retain sufficient precision and calculate normalised actual volume, explaining any display rounding.
15.4 Insufficient or exhausted credits stop only new opening orders that fail eligibility checks. They do not block closure or protective updates for positions still managed by the system, provided connectivity and order transmission remain available. The Company does not automatically create credit debt.
15.5 By default, an order with insufficient credits is not opened or downsized to consume a residual balance unless a disclosed downsizing feature has been selected. Topping up does not automatically backfill previously missed orders.
16 Purchase Cancellation Refunds and Remedies
16.1 Users must check package names, credit quantities, prices and conditions before payment. A successful purchase does not guarantee trading results. Market loss alone does not entitle users to a refund for correctly delivered services unless law or other circumstances provide that right.
16.2 A purchaser may request cancellation within seven calendar days after receiving credits if none of the credits from that purchase has been used, transferred or committed to an order reservation. Any broader statutory right prevails.
16.3 Duplicate payments, invoice discrepancies, duplicate deductions, charges without a Fill or failure to deliver a sold service must be investigated and appropriately corrected. Remedies may include granting or restoring credits, refunding the relevant amount or other relief according to evidence and law. Credits cannot be imposed instead of money where the law entitles the user to a monetary refund.
16.4 Where credits are partly used, used and unused value must be distinguished using invoices and history. Transfers must not generate multiple refunds to different parties. The Company must verify entitlement and credit cost provenance.
16.5 Requests should include membership details, the Internal TX ID and relevant transactions. The Company will provide preliminary findings or identify additional documents within seven business days and process approved refunds within 14 business days, unless a legal or technical reason is communicated with an update schedule.
16.6 The refund method, asset and applicable rate must be disclosed before refund confirmation, taking account of the original payment and legal rights. ACT’s refund-date price is not guaranteed to equal its purchase-date price. Any gas or fee deduction must be justified and disclosed. Customers must not bear costs of Company fault where prohibited by law.
16.7 Refund refusals must include reasons and a complaint channel. Acceptance does not waive complaints, compensation claims or legal remedies.
17 Transfers Between Members
17.1 Transfers are limited to Available Credits permitted by the system and require a specified recipient, amount and fresh TOTP confirmation for that transaction. Displayed limits and post-recovery waiting periods apply. Recovery codes do not replace TOTP approval for transfers.
17.2 A completed transfer reduces the sender’s balance and increases the recipient’s balance in the same transaction, with provenance recorded. Users must verify recipients and promptly report suspected mistakes or fraud.
17.3 Receipt does not establish Company endorsement of a reseller, an externally agreed price or a repurchase commitment. The Company is not a party to member-to-member sales unless actually involved or legally responsible.
17.4 Transactions presenting evidenced fraud or dispute risks may be held for proportionate review. Transfer does not extinguish rights or liabilities arising from erroneous credits or unlawful funds, but does not permit arbitrary confiscation of valid credits.
18 Conflicts of Interest
18.1 The Company earns fees from chargeable opening volume and may earn revenue even when users lose. More volume may increase Company revenue without increasing user profit. Users should consider total costs relative to trading volume.
18.2 A Prototyper may be operated by Acme, the founder, the Company or a related person. Relationships must be disclosed. Cloner information must not be used for abusive trading or artificial volume intended to consume credits.
18.3 Any Prototyper revenue share, referral compensation, IB rebate, Broker remuneration or ACT-related benefit must be disclosed, including its nature and beneficiary, before the relevant service is used. The Company must not falsely claim independence or absence of interests.
18.4 The founder’s connection with ACT may create an interest in accepting ACT. The Company must disclose this directly and must not guarantee ACT prices, liquidity or returns to induce credit purchases.
19 Performance History and Displayed Information
19.1 Cloner results must derive from the available Cloner account data, not substitute Prototyper results. Realised profit, floating profit, commissions, swaps, cash flows, credit costs and missing data should be distinguished.
19.2 Displayed win rates must identify the measured trades, period and whether costs are included. Positive gross Profit does not establish that every trade is profitable after costs. Short-period results do not guarantee continued wins.
19.3 Recovery of purchased credit costs compares net realised Cloning profit with actual credit purchases within the same scope and period. Results after consumed service fees instead subtract the FIFO cost of consumed credits from net realised profit. These are separate views and costs must not be deducted twice.
19.4 Floating profit does not count as recovered credit purchase costs. Measurement starts with the first opening Fill within the defined scope and includes weekends and Pause periods under the disclosed definition. Drawdown must account for deposit and withdrawal effects and identify the data period covered.
19.5 Delayed or missing data must be labelled with status and update time, rather than displayed as zero in a way implying no risk. Conflicts must be reconciled against Broker evidence and the ledger; Company displays are not automatically conclusive.
20 Personal and Confidential Information
20.1 The Company processes registration information, trading accounts, credentials, order history, balances, credit purchases, addresses and blockchain transactions, device data, security logs and acceptance records to deliver and secure services, verify transactions and comply with law, on the bases and terms described in its Privacy Policy.
20.2 Data may be provided to necessary infrastructure, verification, email, wallet, blockchain and processing providers, such as AWS or Turnkey only where actually used, subject to purpose limitations and data protection. Processors, data categories and relevant countries must be disclosed as required by law.
20.3 Website passwords, trading data and payment-system keys must be stored separately with appropriate encryption, access controls and access logs. General support staff should not be able to read trading passwords or wallet signing keys.
20.4 Users may contact the website’s published data protection channel to exercise applicable access, correction, deletion, objection or restriction rights. Withdrawing consent may affect services that depend on that data, without removing statutory record-retention obligations.
20.5 Retention follows the schedule published in the Privacy Policy. Unusable credentials must not be retained unnecessarily. Public blockchains may contain information the Company cannot erase; limitations and measures to reduce identification must be explained.
20.6 Using Cloner histories in advertising, publishing names or individual results, and sending marketing require a lawful basis and separate consent where necessary. Marketing consent is not a condition of buying or using the core service.
21 Prohibited Use
21.1 Impersonation, unauthorised account use, credential theft, falsified payments or webhooks, hacking, order or data injection, duplicate credit creation, fraud-control evasion and unlawful activities are prohibited.
21.2 Deliberate unreasonable system load, damage, access to others’ information and unauthorised disclosure of confidential data or software are prohibited. Good-faith vulnerability reporting through designated channels is not prohibited.
21.3 Users must not falsely claim to be the Company or an authorised representative, guarantee results on its behalf or use distorted statistics to resell or solicit others.
21.4 Good-faith complaints, regulatory reports, legal consultation and lawful publication of facts do not breach these terms merely because they affect the Company’s reputation.
22 Intellectual Property and Service Rights
22.1 The Company or relevant rights holders retain rights in software, websites, branding, documents and protected components. Users receive contractual service rights, not source-code rights or a right to sell the software.
22.2 Unauthorised system duplication, software infringement and commercial signal redistribution beyond granted rights are prohibited, without restricting rights in users’ account data, preservation of evidence or legally permitted use.
22.3 Use of Prototyper performance data must respect disclosed rights and restrictions. The Company must actually hold publication and Cloning permissions from the Prototyper and cannot substitute customer terms for the Prototyper’s consent.
23 Pause Disconnection and Outstanding Orders
23.1 Pause stops receipt of new opening orders from the system-confirmed time; it does not automatically close existing positions. Existing positions continue to receive authorised protective management and closing instructions until the user ends management or disconnects.
23.2 Orders submitted or unresolved before Pause may Fill later. The system must display and investigate them. Pause does not guarantee that orders already accepted by the Broker are stopped.
23.3 Users must have clear choices between stopping new openings while retaining existing-position management, ending management and taking over manually, and closing all positions where supported. Each action’s effects must be explained before confirmation.
23.4 For urgent closure, users should check and act directly through the Broker where accessible. Ending membership or exhausting credits does not remove trading account risk.
24 Suspension and Termination
24.1 The Company may stop new openings or restrict access as necessary for system abnormalities, compromised credentials, user risk, substantiated suspected fraud, material breach or legal orders. Suspension must not punish profitability or good-faith complaints.
24.2 Reasons, effects on positions and credits, and corrective steps will be communicated where legally and securely possible. Suspension must be reviewed within a reasonable time with an internal appeal channel.
24.3 Suspension does not transfer ownership of trading capital or valid credits to the Company. Credits are not automatically confiscated. Fraud or error corrections require evidence and adjustment entries.
24.4 Permanent termination or withdrawal of material functionality requires a plan for existing positions, data export and unusable credits, with appropriate refunds or remedies reflecting legal rights and actual performance. The Company must not continue accepting advance payments when it knows it cannot provide the service.
25 External Systems and Disruption
25.1 Services depend on Brokers, MetaTrader, networks, cloud infrastructure, blockchains, wallets and price feeds. Failure of one component may delay data, prevent complete opening or closure and cause divergence from the Prototyper.
25.2 The Company will exercise reasonable care and skill, maintain backup and recovery measures, verify order status and communicate material incidents. No specific uptime or order transmission time is guaranteed unless set out in a published and deliverable service-level agreement.
25.3 Force majeure applies only to legally qualifying events beyond reasonable control. The Company must mitigate effects and communicate where possible. Avoidable design or maintenance failures do not become force majeure merely by being labelled as such.
25.4 Disruption does not entitle the Company to retain fees for undelivered services or refuse evidence review. Credits, refunds and claims are addressed under Sections 16 and 26.
26 Liability and Disclaimers
26.1 The Company does not guarantee profit, win rates, minimum returns, preservation of capital or equivalence with the Prototyper. Ordinary market loss alone does not prove breach, but users retain the right to establish system or service fault.
26.2 The Company does not guarantee a Broker’s financial condition, withdrawal approval or contractual performance. Broker recommendations or representations must nevertheless have a factual basis, with relevant interests disclosed.
26.3 The Company remains liable under contract and applicable law for proven damage caused by breach of its duties, considering causation, foreseeability and reasonable mitigation. Risk acceptance does not make the user responsible for every event.
26.4 Any exclusion relating to expected profit or indirect loss applies only as permitted by law. Proven direct damage from erroneous orders must not automatically be reclassified as indirect loss.
26.5 Each party’s liability is assessed according to its duties, causation, evidence and applicable law. Nothing makes the Company a guarantor of Broker debts or performance.
26.6 Nothing excludes liability that cannot lawfully be excluded, including fraud, intentional misconduct, gross negligence, data breaches or consumer-rights violations to the extent exclusion is prohibited.
26.7 Nothing requires users to waive litigation, complaints, regulatory reporting or legal remedies. Users are not required to indemnify the Company in every case without proof of causation and fault.
27 Electronic Records and Notices
27.1 The Company retains the accepting account, text version, date and time, and appropriate evidence of the action, including pre-activation settings snapshots and purchases. Users may request relevant copies subject to law and security safeguards.
27.2 Orders, Fills, invoices, ledger entries and blockchain records may support verification but are not conclusive evidence immune from challenge. The Company must preserve integrity and provide a discrepancy-correction channel.
27.3 Material notices are delivered through verified email and account interfaces actually used. Users must maintain contact details. A sending log alone does not automatically establish immediate receipt without considering the facts.
28 Amendments
28.1 Material changes to fees, credit rights, order authority or risk require at least 30 days’ advance notice and renewed acceptance where necessary. Urgent legal or security changes may be made sooner with prompt notice and reasons.
28.2 Changes operate prospectively, do not alter confirmed purchase prices or erase history, and do not treat silence as automatic authorisation to expand trading authority or waive material rights.
28.3 Users declining material changes may stop new openings, disconnect safely and address unused credits through applicable rights and appropriate remedies.
29 Complaints and Disputes
29.1 Complaints may be submitted through the channel published on www.FXCloning.com with membership details, the relevant account, order number or Internal TX ID, time and time zone, explanation and evidence. Passwords and seed phrases must not be included.
29.2 The Company will acknowledge complaints within three business days and provide findings or a reasoned progress update within 15 business days. Complex cases require an explanation, timeframe and next update date. These periods do not restrict limitation periods or external complaint rights.
29.3 Broker, system and ledger evidence will be reviewed fairly. Failure to meet an internal reporting period does not extinguish legal rights. Both parties must mitigate loss without destroying evidence.
29.4 Users retain access to competent regulators, consumer authorities, courts and legally authorised dispute-resolution mechanisms.
30 Law Language and General Provisions
30.1 Applicable law and competent courts are determined by the laws relevant to the operator, service location and user, without removing mandatory user rights or protections. This Agreement grants no licence or exemption from legal duties to either party.
30.2 This English edition translates the Thai edition. Each language edition must clearly identify its version and date. Interpretation must take account of information provided to the user and applicable mandatory law.
30.3 If a provision is unenforceable, the remainder continues to the extent consistent with a lawful purpose. An invalid term must not automatically be rewritten to increase user disadvantage. Delay in exercising a right is not a waiver.
30.4 Company assignment must not reduce rights or protections without notice and appropriate options. The ability to transfer credits does not itself permit users to transfer membership or trading account authority.
30.5 Use creates no partnership, employment or general agency beyond the specified order authority. This Agreement does not amend the user–Broker contract or automatically make a Broker a party to FXCloning’s agreement.
Part B Risk Disclosure and No Guarantee Agreement
31 Purpose and Core Acknowledgements
31.1 I have read and understand that FXCloning involves purchasing services, authorising automated orders and leveraged trading risk. I may lose all trading capital and, where effective negative balance protection is absent, may incur additional liabilities under my Broker agreement.
31.2 Acceptance confirms informed acknowledgement and limited authorisation, not waiver of statutory rights or all Company liability. I may request explanations before starting Cloning.
32 Strategy and Return Risks
32.1 I understand there is no guarantee of profit, recovery of capital, a 100% win rate, daily or monthly returns, or a period within which profits will recover credit costs. Past success does not assure future results, and past successful withdrawals do not assure future withdrawals.
32.2 A Prototyper may hold losing positions, increase or reduce volume, close profitable positions while losses remain floating, and change decisions with the market. The number of profitable closed trades does not reveal total risk; equity, drawdown, leverage and aggregate exposure must also be considered.
32.3 Return percentages should distinguish cash flows and realised versus floating results. I do not treat floating profit as money certainly received before actual closure and settlement.
33 Position Size and Accumulation Risks
33.1 Even with Balance Ratio sizing, my account may have different leverage, margin, stop-out levels, currency and minimum volume from the Prototyper. A minimum opening such as 0.01 lot may create risk relative to capital several times greater than the calculated proportion.
33.2 I understand that smaller accounts may fail to follow all positions in a Prototyper’s sequence and may be stopped out before the Prototyper, even if the Prototyper later closes profitably. I must assess capital and the risk multiplier, not rely only on the Prototyper’s portfolio size.
33.3 Risk limits and stop losses do not guarantee an absolute maximum loss during gaps, low liquidity or system disruption. Depositing more funds or increasing the multiplier may increase the amount at risk.
34 Cloning and Connectivity Risks
34.1 Execution prices, speed, spreads, commissions, swaps and market hours may differ. I may lose on a trade the Prototyper wins, or miss winning trades while receiving losing ones. Following a strategy does not assure every account receives every event.
34.2 Manual closure, SL/TP changes, password changes, other systems or disconnection may alter position management. I must monitor my account and know how to close positions directly with my Broker.
34.3 Pause, exhausted credits or disconnection do not immediately close existing positions, and in-flight orders may Fill later. I understand the choices for existing positions before stopping the service.
35 Broker and Payment Risks
35.1 Brokers may face liquidity problems, insolvency, order or withdrawal restrictions, and disputes may require proceedings abroad. Licensing or reputation does not guarantee full payment to me.
35.2 Account opening, deposits, withdrawals, identity checks, freezes, suspension, withdrawal approval or refusal, and capital disputes with my chosen Broker are directly between me and that Broker, not FXCloning services or responsibilities. FXCloning has no authority to approve, expedite, guarantee or execute deposits or withdrawals for me and does not guarantee Broker solvency or payment. This does not exclude FXCloning’s liability for its own proven wrongdoing under applicable law.
35.3 Digital asset payments involve price volatility, stablecoin depegging, incorrect networks, contracts or addresses, exchange delays, chain reorganisations and fees. Credits confer no entitlement to speculation in or returns from ACT.
36 Service Cost and Information Risks
36.1 Credits are deducted for confirmed opening volume regardless of profit. Service and Broker costs may consume much of gross profit or turn it into a net loss. I must consider my account’s total costs.
36.2 Prototyper, advertising, backtest, demo and third-party results have different limitations. I must check whether sources are live or demo, the period covered and included costs. I do not treat private communications as a guarantee without a lawful agreement.
36.3 Providing credentials allows order transmission that may affect my account funds even without custody of capital. I must review data policies and revocation channels and understand that the Company retains its security obligations.
37 Authorisation and User Rights
37.1 I select the Prototyper, account and settings shown in the review and authorise opening, management and closing instructions only within that scope, without confirming each instruction, until I Pause or terminate under the applicable process.
37.2 I authorise credit deductions under the accepted units and fees. Buying credits does not start Cloning; activation requires separate confirmation. This acceptance does not authorise withdrawals from my Broker.
37.3 I understand my rights to review history, request correction, complain, stop new openings, disconnect and seek refunds or remedies where entitled. Risk acknowledgement does not remove those rights.
Part C Acceptance Statements
38 Before Purchasing Credits
Required checkbox to be selected actively and not pre-ticked:
I have read and accept FXCloning Terms and Conditions Version 1.0 and the payment and refund policy. I understand that I am buying Lot Credits for volume-based services, not depositing investment capital or buying profits, and that this purchase does not start Cloning.
Confirmation button: Buy Credits Under the Displayed Package.
39 Before Starting Cloning
Checkbox 1: I select the Prototyper, account and settings shown in this review and authorise FXCloning to send automated trading orders within that scope and deduct credits for successfully filled opening volume. I understand how to Pause and manage existing positions.
Checkbox 2: I have read Risk Disclosure Agreement Version 1.0 and understand that I may lose capital, profit is not guaranteed and my account results may differ from the Prototyper.
Checkbox 3: I acknowledge that if calculated volume is below minimum, the system may open the Broker’s minimum, such as 0.01 lot, creating greater risk relative to capital than the Prototyper proportion. Credit, margin and risk limits still apply.
Confirmation button: Authorise and Start Cloning.
The review must display the Prototyper, partially masked destination account number, reference balance, risk multiplier, minimum-volume policy, SL/TP rule, limits and treatment of existing positions. Checkboxes do not replace disclosure of the actual information.
40 Privacy Acknowledgement and Marketing
Acknowledgement: I have received the Privacy Policy explaining the information and processors necessary for account connections, order transmission, payments and security, at the link and version displayed before acceptance.
Optional checkbox: I wish to receive news and marketing offers through my selected channels and may withdraw this consent later without affecting the core service.
Use of an account’s results or a person’s name for marketing requires separate consent identifying the data, purposes, channels and withdrawal method. It must not be bundled with consent to start Cloning.
